Preliminary :
It will be considered that the following terms and conditions have been read, understood and accepted by every party that confirms a payment, accordingly to a proforma issued by GEMINI srl
- We deal with stocklots of designer's / brand name's apparels and accessories, for men, women and children. This consists in overstocks, surplus, cancel orders, end-of-series, and season orders ; from current season and previous year collection.
- Merchandise is brand new, genuine, authentic, with regular tags & labels, legitimately distributed by authorized Europe-based sellers, with proper documentation to prove origins.
- Stock are sold by the lot, and minimum order may apply.
- Pictures provided on Our website, or on Our Mailing-List, are non-contractual illustrations, and then are not part of a contract of sales.
- Goods are sold and shipped with explicit commercial invoice, and a letter of indemnity if requested, to certify origins of the merchandise.
- Once a proforma is issued, stock is reserved "as-agreed" during the buying process (according to a packing-list: sizes, colours, models...) ; for a delay of 24 hours, time for the buyer to provide a proof that payment has been initiated.
- After that delay, as we are in liquidation/clearance process, packing list may be amended and slightly be modified from initial offer: sizes, colours, or models, and like shipping Time ; without prior notice.
- Orders once confirmed cannot be cancelled, nor can deposits paid to secure orders be refunded for any reason.
- Likewise, goods once sold cannot be returned or exchanged, unless we previously agreed in case of a manifest mistake from our side.
- All claims must be done within a 48 hours delay from delivery date. After that delay, sales is considered as final (= closed), as we are in a business of clearing and liquidating overstock and surplus,or season orders.
- Stocklots business is based on "limited quantity", sold to 1st come, subject to unsold.
- Payment is always before delivery. We accept bank wire transfer, Letter of Credit, Fly & Buy only after payment of a deposit.
- All orders are shipped ex-works warehouse in Florence, unless otherwise stated, and the time before shipment is generally 5 to 9 business days after payment is confirmed in our bank.
- Certain offers are area-restricted, based on Trademark Law, and cannot be sold in some parts of the world. Special mention will be specified in such cases.
- Both buyer and Gemini srl agree to do all efforts to solve all legal situations on a friendly manner, with good faith. Only the courts of the city of the Gemini srl will be eligible to arbitrate any legal issues which would not been previously resolved in a friendly way.
